Our client is a well-established international investment firm with a strong presence across multiple regions, including Australia. They manage capital on behalf of sophisticated institutional investors and focus on long term investment strategies.

The firm takes a hands-on approach to building and growing the businesses, it invests in. The Australian team is expanding and works on complex, high-profile transactions.

The role

Our client is seeking a senior lawyer to join its regional legal team in Sydney. The key responsibilities of this role include:

• Leading legal workstreams on acquisitions, divestments, joint ventures and co-investments, with day-to-day responsibility for managing the transaction process.
• Managing and instructing external counsel, including scoping work, reviewing advice and keeping costs and timelines under control.
• Drafting, reviewing and negotiating transaction documents, including sale and purchase agreements, shareholder agreements and ancillary documents.
• Overseeing legal due diligence and translating findings into clear, commercial advice for the deal team.
• Advising on regulatory and approval requirements, including FIRB and ACCC approvals.
• Supporting portfolio businesses with post-completion integration, governance and restructuring matters.
• Advising on private credit transactions for portfolio companies and third-party borrowers.
• Providing ongoing legal and commercial support for existing portfolio investments.

About you

You will have 8–12 years of post-qualification experience gained from a leading law firm. Any in-house or secondment experience in a similar organisation will be highly regarded.

You will bring strong cross-border M&A experience. You will be commercially focused and have the ability to balance transaction risk with business objectives while operating autonomously in a fast-paced, international environment.
